1. Agreement Overview

These Affiliate  7Program Terms of Service (“Agreement”) govern your participation in the Babypips Affiliate Program (“Program”). The Program is operated by BabyPips.com LLC (“Babypips,” “we,” “us,” or “our”), the owner and operator of babypips.com.

By submitting an application to join the Program, or by participating in the Program following approval, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement in full. If you do not agree, do not apply or continue participating.

This Agreement incorporates by reference:

  • The Babypips Terms of Use and Privacy Policy
  • The Dub Partners platform terms, as applicable to commission tracking and payouts
  • Any written amendments or addenda issued by Babypips

In the event of a conflict between this Agreement and any other Babypips policy, this Agreement controls with respect to affiliate participation.

2. Eligibility

To be eligible for the Program, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater
  • Have a valid email address and the legal capacity to enter into contracts
  • Own or operate a website, newsletter, social media presence, YouTube channel, podcast, or other publishing platform through which you will promote Babypips Premium
  • Comply with all applicable laws and regulations in your jurisdiction, including those governing advertising, financial promotion, and affiliate disclosure
  • Not be a current employee, contractor, or director of Babypips or any of its affiliates

Babypips reserves the right to decline any application at its sole discretion, without obligation to provide a reason.

3. Application and Approval

3.1 Application. To join the Program, you must submit a complete application. You will be asked to describe your audience, your promotional channels, and how you intend to promote Babypips Premium.

3.2 Approval. Applications are reviewed manually. We aim to respond within a reasonable timeframe. Approval is not guaranteed. We may approve, decline, or request additional information.

3.3 Account activation. Upon approval, you will receive access to your affiliate dashboard via Dub Partners, your unique referral link, and any available promotional materials. Your participation begins at that point.

3.4 One account per affiliate. You may maintain only one affiliate account. Creating multiple accounts to circumvent any policy or restriction is grounds for immediate termination.

4. What You May Promote

The Program covers promotion of Babypips Premium, the paid subscription product available at babypips.com/subscribe, including all available plan options as listed on that page at the time of the referral.

You may not earn commissions on:

  • Free Babypips accounts or free content
  • Third-party products or services advertised on babypips.com
  • Any Babypips product or service not explicitly listed above

Babypips may update the scope of promotable products at any time. We will notify active affiliates of material changes.

5. Commissions

5.1 Rate. Your commission rate is set out in your individual affiliate agreement or, if no separate written agreement exists, as confirmed in your affiliate dashboard at the time of approval. Your rate applies to each qualifying subscription payment made by a referred subscriber.

5.2 Duration. The duration over which commissions are earned is set out in your individual affiliate agreement or, if no separate written agreement exists, as confirmed in your affiliate dashboard at the time of approval. You will receive your applicable commission rate on each qualifying payment for the duration specified in your agreement.

5.3 Qualifying referral. A qualifying referral is a new Babypips Premium subscriber who:

  • Clicked your unique referral link within the cookie window described in Section 5.4
  • Completed a paid subscription on babypips.com
  • Is not an existing Babypips Premium subscriber at the time of referral
  • Is not you

5.4 Cookie window. Referrals are tracked via a [XX]-day cookie. If a user clicks your referral link and subscribes within [XX] days, the sale is attributed to you. If the user has clicked referral links from multiple affiliates, the [first-click / last-click: confirm attribution model] attribution applies.

5.5 Commission on plan type. Both monthly and annual plans qualify. Commissions are calculated on the net subscription price paid by the subscriber, excluding taxes, processing fees, or promotional credits applied by Babypips.

5.6 No commission on free trials. If Babypips offers a free trial, no commission is earned during that period. Commissions begin on the first paid payment.

5.7 Currency. Payout currency depends on your chosen payment method through Dub Partners. Bank account payouts are made in your local currency. Stablecoin payouts are made in USDC.

5.8 No guaranteed earnings. Commission payments depend entirely on the number and retention of your referrals. Babypips makes no representation about likely earnings, average earnings, or earning potential. Any illustrative figures in our marketing materials are examples only, not forecasts or guarantees.

6. Cancellations, Refunds, and Chargebacks

6.1 Cancellations. Babypips Premium subscribers may cancel at any time. Upon cancellation, the subscriber retains access through the end of their current billing period. No further commissions are earned after the final paid period.

6.2 Refunds. Babypips does not offer refunds or proration for unused subscription time.

6.3 Chargebacks and fraud. If a referred subscriber initiates a chargeback, or if a subscription payment is reversed for any reason, the associated commission will be reversed and deducted from your account balance. If your account balance is insufficient to cover the reversal, the deficit will be deducted from future commissions.

6.4 Fraudulent referrals. Commissions generated through fraudulent activity, including fake accounts, purchased traffic, or any prohibited practice listed in Section 9, will be permanently reversed regardless of payment status.

7. Payments

7.1 Payment platform. All affiliate payments are processed through Dub Partners. By participating in the Program, you agree to the Dub Partners terms of service and must maintain a valid Dub Partners account in good standing.

7.2 Payout schedule. Commissions are paid on a [monthly / NET-30: confirm] basis. Payments are initiated [X days] after the close of each [calendar month/earning period: confirm].

7.3 Payment threshold. Payouts of $10 or more are automatically deposited into your connected payout account. Balances below $10 may be withdrawn manually for a $0.50 fee via your Dub Partners dashboard.

7.4 Payment methods. Dub Partners supports two payout methods: bank account (via Stripe Express, paid in your local currency, subject to a 1% FX conversion fee for international transfers) and stablecoin wallet (paid in USDC, subject to a 0.5% transaction fee). You are responsible for maintaining accurate and current payment information in your Dub Partners account.

7.5 Taxes. You are solely responsible for any taxes arising from commissions earned through the Program. Babypips will not withhold taxes on your behalf unless legally required to do so. If required, Babypips may request that you provide tax documentation (e.g., a W-9 or W-8BEN) before issuing payment. Failure to provide requested documentation may delay or prevent payment.

7.6 Disputed payments. If you believe a commission payment is incorrect, you must notify us in writing at [email protected] within [30 days] of the payment date. Disputes raised after this period may not be honored.

8. Affiliate Obligations

8.1 Accurate representation. You must describe Babypips Premium accurately and consistently with its actual features and positioning. You must not:

  • Describe Premium as a trading signal service or imply it provides entry/exit prices
  • Promise or imply that Premium will result in trading profits, improved win rates, or financial gains of any kind
  • Make performance claims that go beyond what Babypips itself states on its subscription page
  • Represent yourself as an employee, agent, or official spokesperson of Babypips

8.2 Disclosure of affiliate relationship. You must clearly and conspicuously disclose your affiliate relationship with Babypips in every piece of content that includes your referral link. This includes, but is not limited to, blog posts, videos, social media posts, newsletters, and community messages.

Disclosures must comply with the US Federal Trade Commission (FTC) guidelines. If you are promoting outside the United States, you are also responsible for complying with any applicable disclosure laws in your jurisdiction. Acceptable disclosure language includes:

“This post contains affiliate links. If you subscribe through my link, I may earn a commission at no additional cost to you.”

Disclosure must appear before the affiliate link, not buried at the bottom of a long page or in a separate disclosure document.

8.3 Compliance with platform rules. You are responsible for ensuring your promotional activities comply with the terms and policies of each platform you use, including but not limited to YouTube, Instagram, TikTok, X (Twitter), Meta, and email service providers.

8.4 Compliance with financial promotion laws. If you are located in, or are promoting to audiences in, a jurisdiction with specific rules around financial promotion (including the UK, EU member states, Australia, or Canada), you are solely responsible for ensuring your content complies with those rules. Babypips does not pre-approve affiliate content for regulatory compliance.

8.5 Content accuracy. Pricing, features, and offer details for Babypips Premium may change. You are responsible for keeping your promotional content current. Babypips is not liable for commissions lost or earned on the basis of outdated content.

9. Prohibited Activities

The following are strictly prohibited and will result in immediate termination of your affiliate account, forfeiture of any unpaid commissions, and potential legal action:

9.1 Self-referrals. You may not use your own referral link to subscribe to Babypips Premium yourself, or refer immediate family members or household members for the purpose of earning commissions.

9.2 Cookie stuffing. You may not artificially drop affiliate cookies onto users’ browsers without their knowledge or consent through iframes, forced redirects, pop-unders, or any similar technique.

9.3 Misleading or deceptive content. You may not use false, misleading, or deceptive claims in your promotional content, including fabricated testimonials, fake screenshots, or invented results.

9.4 Spam. You may not send unsolicited bulk email, messages, or promotional content of any kind.

9.5 Trademark and brand bidding. You may not bid on Babypips brand keywords (“Babypips,” “Baby Pips,” “babypips.com,” or close variations) in paid search advertising (e.g., Google Ads, Bing Ads) without prior written approval.

9.6 Deceptive landing pages. You may not direct traffic through landing pages that misrepresent the nature of Babypips Premium, impersonate Babypips, or create a false impression of an official Babypips communication.

9.7 Incentivized clicks. You may not offer cash, prizes, rewards points, or other direct incentives in exchange for clicking your referral link or subscribing to Babypips Premium.

9.8 Coupon and deal site misrepresentation. If you operate a coupon or deal aggregator site, you may not list fake or expired offers, or imply that a discount exists when none has been authorized by Babypips.

9.9 Unauthorized use of Babypips intellectual property. You may use Babypips-provided logos, screenshots, and promotional materials solely for the purpose of promoting the Program in accordance with this Agreement. You may not alter, distort, or misuse Babypips trademarks, trade dress, or copyrighted content.

9.10 Content harmful to Babypips. You may not publish content that is defamatory, obscene, hateful, or otherwise harmful to Babypips, its employees, or its subscribers.

10. Intellectual Property

10.1 Babypips IP. Babypips retains all ownership of its trademarks, logos, copyrighted content, and other intellectual property. Nothing in this Agreement grants you any ownership rights.

10.2 License to use promotional materials. Babypips grants you a limited, non-exclusive, non-transferable, revocable license to use approved promotional materials (logos, banners, screenshots, swipe copy) solely for the purpose of promoting Babypips Premium under this Agreement. This license terminates immediately upon termination of your participation in the Program.

10.3 Your content. You retain ownership of original content you create to promote Babypips. By creating such content, you represent that it does not infringe the intellectual property rights of any third party.

11. Term and Termination

11.1 Term. This Agreement begins on the date your application is approved and continues until terminated by either party.

11.2 Termination by you. You may terminate your participation at any time by notifying us in writing at [email protected]. Termination does not affect commissions already earned on qualifying referrals prior to termination, subject to the conditions in Section 11.4.

11.3 Termination by Babypips. Babypips may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for immediate termination without notice include any violation of Section 9 (Prohibited Activities) or Section 8 (Affiliate Obligations).

11.4 Effect of termination. Upon termination:

  • Your referral link will be deactivated
  • No further commissions will accrue
  • Any unpaid commissions that were legitimately earned before termination will be paid on the next scheduled payment date, provided no violations have occurred
  • Commissions earned through prohibited activity are forfeited in full
  • The license granted under Section 10.2 is immediately revoked

11.5 Survival. Sections 6 (Cancellations, Refunds, and Chargebacks), 9 (Prohibited Activities), 10 (Intellectual Property), 11.4 (Effect of termination), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law) survive termination.

12. Program Changes

Babypips reserves the right to modify any aspect of the Program at any time, including commission rates, cookie duration, payment thresholds, eligible products, and prohibited activities. We will notify active affiliates of material changes by email or through the affiliate dashboard with [30 days’] notice where reasonably practicable. Your continued participation following notice of a change constitutes acceptance of the updated terms. If you do not agree to a change, you may terminate your participation under Section 11.2.

13. Limitation of Liability

13.1 To the fullest extent permitted by applicable law, Babypips and its officers, directors, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program, including but not limited to lost profits, lost commissions, loss of data, or loss of goodwill.

13.2 Babypips’ total cumulative liability to you arising out of or related to this Agreement shall not exceed the total commissions paid to you in the [three months] preceding the claim.

13.3 Some jurisdictions do not allow the exclusion of certain damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Babypips and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your participation in the Program; (b) your promotional content; (c) your violation of this Agreement; (d) your violation of any applicable law or third-party right; or (e) any claim that your content infringes the intellectual property of a third party.

15. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship between you and Babypips. You have no authority to bind Babypips in any way.

16. Governing Law and Disputes

16.1 Governing law. This Agreement is governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

16.2 Dispute resolution. Any dispute arising out of or related to this Agreement shall first be addressed through good-faith negotiation. If the parties cannot resolve the dispute within [30 days] of written notice, the dispute shall be settled by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. Judgment on the award rendered may be entered in any court of competent jurisdiction. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state or federal courts located in Richmond, Virginia.

16.3 Waiver of class action. To the extent permitted by applicable law, you waive any right to bring or participate in a class action or representative proceeding against Babypips.

17. General Provisions

17.1 Entire agreement. This Agreement, together with the documents incorporated by reference in Section 1, constitutes the entire agreement between you and Babypips regarding the Program and supersedes all prior discussions, representations, and agreements.

17.2 Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force.

17.3 Waiver. Babypips’ failure to enforce any provision of this Agreement does not constitute a waiver of its right to do so in the future.

17.4 Assignment. You may not assign your rights or obligations under this Agreement without prior written consent from Babypips. Babypips may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.

17.5 Notices. Notices from Babypips to you will be sent to the email address on file in your affiliate account. You are responsible for keeping your contact information current. Notices from you to Babypips should be sent to [email protected].
